Marvin Yontef is a senior partner in the firm's Corporate Group in Toronto. He has been counsel in a wide range of commercial activities including mergers and acquisitions (M&A), corporate finance, banking and project finance, securities offerings, corporate reorganizations and restructurings and working with directors, senior officers and director committees as well as with commercial and investment bankers on strategic and fiduciary issues.

Mr. Yontef's recent achievements have included acting as lead corporate counsel for Air Canada in its efforts to restructure its business in the context of the largest insolvency, business and debt restructuring in Canadian history. This transaction was expressed to be Canada's #1 corporate deal of 2003 by a Canadian legal publication and was completed in September 2004. He also acted as lead counsel for Blackfriars in its successful public tender for and acquisition of Emco, for the acquiror in Cara Holdings Limited's successful going private transaction with Cara Operations, for Nortel on the sale of its manufacturing operations to Flextronics, for MemberWorks on its acquisition of Lavalife, for Allstream in its proposed merger with Manitoba Telecom, for Aecon on the acquisition proposal from Hochtief, for ACE Aviation on its acquisition of a strategic investment in US Airways, for the Government of Ontario (Infrastructure Ontario) in connection with the establishment and funding of the Greater Toronto Transportation Authority and its initial projects, for Laidlaw International in its merger with First Group, for Apax Partners in connection with its acquisition of Thomson Learning, for Cerberus Capital Management in connection with its proposed acquisition of United Rentals, for Dundee Corporation in connection with its shareholder and other agreements with The Bank of Nova Scotia, and for Smurfit-Stone in respect of its Canadian insolvency filing.

Mr. Yontef has participated as a speaker and panellist in various educational programs of the Canadian, American and International Bar Associations, and various academically and commercially sponsored programs for lawyers. Most recently, these programs have related to mergers and acquisitions, fiduciary responsibilities, business restructurings and similar topics. Mr. Yontef is a member of the board of directors of ACE Aviation Holdings Inc. and has been a director of a number of other public and closely-held issuers as well as charitable organizations.
