Stikeman Elliott has acted for a large number of developers, financial institutions and syndicates on the financing of projects and infrastructure in energy and other sectors. Our work in this area reflects both the increasing use of non-recourse or limited recourse financings by governments and private-sector developers, and a growing need for flexibility and creativity on the part of financial advisers to large projects. Our expertise includes acting as sole or lead counsel on numerous projects in the electrical, mining, oil and gas, and other sectors, both across Canada and around the world. We have also advised on power project development and financing, investment-grade emerging market projects, and cross-border projects in response to industry consolidation.


Our project finance and infrastructure capability draws on the skills of our banking, corporate, energy, real estate, securities and tax groups, as well as experience accumulated through privatizations and public-private partnerships. We have worked on non-recourse or limited-recourse projects in a variety of contexts, including electric power co-generation and the development of other natural resources, real estate development, public and private-sector transportation infrastructure, arena financings, and securitizations.

The breadth of our experience in project finance and infrastructure projects follows from our work as advisers to major financial institutions, corporations, governments and multi-lateral agencies, as well as from the global orientation of our practice. As well as having offices in the five largest cities in Canada, we provide Canadian legal services in the United States, the United Kingdom, and the Pacific Rim. Through our International Advisory Group, based in Montreal, we are also active in advising governments and agencies in Central and South America, Africa, the Middle East, and South Asia.

The 2007 edition of Chambers Global's The World's Leading Lawyers for Business ranks our banking and finance practices among Canada's leaders, referring to the firm as "a robust nationwide operation with notable players in Vancouver, Calgary, Toronto and Montreal." The 2007 edition of IFLR 1000 ranks our group as "recommended" for banking regulatory work and notes the firm as a leader in project finance, while the 2007 Canadian Legal Lexpert Directory identifies Stikeman Elliott banking lawyers in each of the four Canadian offices as leading practitioners in their field. Our expertise covers unsecured and secured lending, by one lender or in syndication, as well as structured transactions such as project financings, acquisition and lender offer financings, securitizations, and derivatives.

Many of the transactions in which we have acted involved significant regulatory advice. As a result, we have developed an in-depth understanding of the regulatory framework governing the sector at the federal and provincial levels, a good working relationship with regulators, and extensive knowledge of the public-policy environment in which they operate.

Our team is considered a leading firm in this area in Chamber's Global The World's Leading Lawyers edition because of our "premier" practice. Our lawyers have been given due credit for enhancing our practice, deemed "a force to be reckoned with" on domestic and international financing matters.

The firm advised on two infrastructure projects selected as Deals of the Year by Project Finance Magazine: Quebec's Autoroute 25 and the Invenergy & St Clair project.
